Sales Tax: If your state requires sales tax, it is added to the invoice and collected appropriately. Sales tax exemption opportunities are available for most of Provent's services if interested.
Payment Due: Net 30 days from the date of invoice.
Scheduling: Each service will be scheduled at a mutually agreeable time, typically during off-peak hours to minimize disruption to your operations.
Service Frequency: Service frequency will depend on any governing agency requirements and the service the customer has requested. Each cleaning is an independent service, you are not contractually obligated for multiple services or a long-term agreement.. ProVent will contact you prior to your next service due date to offer and schedule your next recommended service.
Access: Customer agrees to provide clear and safe access to all areas of the equipment being serviced.
Water & Power: Customer agrees to provide access to water and electrical outlets as needed for the service.
Waste: Customer agrees to allow ProVent to dispose of any solid non hazardous waste created by the service in their dumpster/trash receptacle. Customer also agrees to allow ProVent to dispose of any liquid non hazardous waste down the floor drain, mop drain, and/or grease trap. All services producing liquid waste are confirmed with the TCEQ to be non hazardous and safe to dispose of in drain lines.
Keys & Security: If no customer representatives will be present for the duration of the service, the customer will provide ProVent with necessary keys and security codes. A unique security code, used only by ProVent, is preferred for enhanced security. ProVent will take all reasonable precautions to safeguard provided keys and codes.
Warranty: ProVent guarantees its workmanship for 90 days following each service against defect in workmanship only. This warranty does not cover parts, or damage resulting from misuse, abuse, or subsequent workmanship by others. Any issues arising from our service within this period will be addressed promptly.
Cancellation Policy: Cancellations or reschedules made less than 24 hours from the mutually agreed upon service time will result in a $100 fee.
Exclusions of Liability:
Pre-existing conditions: Provent is not responsible for pre-existing conditions, defects, or damage (lost profits and/or business interruptions) arising from our services.
Our liability for any damages arising out of or in connection with the services provided hereunder, whether in contract, tort, or otherwise, shall be limited to the amount paid by the client for the specific services giving rise to the claim.
Dispute Resolution: Any dispute arising out of or in connection with the services shall be governed by and construed in accordance with the laws of the State of Texas.
Indemnification: Client agrees to indemnify, defend, and hold harmless ProVent (and its parent company) and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees and costs, arising out of or in any way connected with the client's operation of its commercial kitchen, except to the extent caused by the gross negligence or willful misconduct of ProVent.
Entire Agreement Clause: This invoice, together with any referenced service agreements or proposals, constitutes the entire agreement between the parties regarding the services described herein and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
